These Terms govern use of the Inhouse Agents marketing site at inhouseagents.ai, the customer console at app.inhouseagents.ai, and the Inhouse Agents software (the "Service"). Inhouse Agents is a product of Lopie Dev (the "Company", "we", "our").
1. Acceptance
By accessing the marketing site, registering an account on the customer console, or installing the Inhouse Agents software, you agree to these Terms. If you don't agree, don't use the Service.
2. Service description
Inhouse Agents is a software platform for deploying AI agents that perform back-office work. We offer three commercial tiers:
- Hosted — managed SaaS we operate on AWS infrastructure.
- Self-Host — software license; you run the platform on infrastructure you own.
- Self-Host + Hardware — pre-configured GPU server we ship for you to operate locally.
Each tier has separate pricing, deliverables, and support commitments described on the Pricing page at the time of purchase.
3. License
Subject to payment of applicable fees, we grant you a non-exclusive, non-transferable, perpetual license to use the Inhouse Agents software within your organization. Source-available components may be modified for your internal deployment but not redistributed publicly.
Subscription components (Hosted tier, support, and updates beyond Year 1) are licensed for the term you've paid for.
4. Customer data
You retain ownership of all data your agents process — customer records, transcripts, files, OAuth tokens. On the Hosted tier, we operate as a data processor on your behalf. On Self-Host tiers, all data lives on infrastructure you control; we never see it.
We will not sell, share, or use your customer data to train AI models.
5. Acceptable use
You agree not to use the Service to:
- Violate applicable laws or regulations.
- Send spam, phishing, or unsolicited bulk communications.
- Impersonate any person or entity.
- Attempt to compromise the integrity or security of any of our infrastructure.
- Reverse engineer, decompile, or extract source from compiled binaries (except as required by applicable law).
6. Fees and payment
Fees, billing cycles, and renewal terms are described on the Pricing page and confirmed in your order. Hosted plans bill monthly in advance. Self-Host one-time fees are due before delivery. Hardware fees are due before shipment. Annual support renewals are invoiced 30 days before the renewal date.
Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.
7. Term and termination
Hosted plans run month-to-month and may be cancelled at any time before the next billing cycle. Self-Host licenses are perpetual; the optional support renewal may be cancelled before each annual renewal date.
We may suspend or terminate accounts that violate these Terms. Upon termination, we will provide a 90-day data export window for Hosted customers.
8. Disclaimer of warranties
The service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service or these Terms shall not exceed the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages.
10. Indemnification
You agree to indemnify us against claims arising from your misuse of the Service or violation of these Terms. We agree to indemnify you against third-party claims that the Service infringes their intellectual property rights, provided you promptly notify us and let us control the defense.
11. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in San Diego County, California.
12. Changes
We may update these Terms from time to time. Material changes will be communicated via email to active customers and reflected with an updated date above. Continued use of the Service after a change constitutes acceptance.
